Terms (merchants)

These terms apply between Otonom (trading as OpenAjan, CVR 46779274) and the business creating a shop on openajan.com ("Merchant").

1. The service

OpenAjan makes the Merchant's details, hours and prices available to customers and AI agents in machine-readable form and relays orders and bookings to the Merchant by email, order screen, SMS or the Merchant's own system (webhook). OpenAjan is a technical intermediary — the contract for the goods/service is made directly between Merchant and customer, and payment happens at the Merchant. OpenAjan never receives or holds customer payments.

2. Price

No subscription. A fee per order or booking brought by an agent and confirmed by the Merchant: DK 2 kr, DE €0.30, TR 5 ₺, excl. VAT. Billed monthly in arrears. Declined/cancelled and test orders are free. Price changes are announced at least 30 days ahead.

3. Merchant obligations

Correct details, prices incl. VAT, hours and allergen/legally required information; handling or promptly declining received orders; complying with consumer and food law; having the right to sell what is offered.

4. OpenAjan obligations and liability

We aim for high uptime but do not guarantee that AI agents find or choose the Merchant or that orders always arrive. We are not liable for indirect loss, lost revenue or errors by AI agents, networks or third parties. Total liability is capped at fees paid by the Merchant in the last 12 months.

5. Ranking and visibility (Regulation (EU) 2019/1150)

Shops are shown to agents by relevance to the query (name, city, zip, type, description), alphabetically on ties. No paid placement. Changes to these terms are notified at least 15 days ahead; termination or suspension is reasoned in writing with at least 30 days' notice unless law, abuse or security require immediate action. 6. Termination

The Merchant may delete the shop at any time without notice. Outstanding fees fall due on termination.

7. Personal data

See the privacy policy and the data processing agreement, accepted at sign-up.

8. Law

Danish law. Venue: the court at Otonom's registered seat.
